“Corporate Governance: Right Results, Right Way


Presenter

·    Ellen M. Fitzsimmons serves as the chief legal officer for CSX Corporation and oversees all government relations and public affairs activities. She was named to this position in 2003. Fitzsimmons joined CSX in 1991 as a senior counsel. Prior to joining CSX, Fitzsimmons was an associate with Richmond-based law firm Hunton & Williams.

·    Missy Turra  is the Executive Partner of the Jacksonville office of Holland & Knight LLP. Turra represents clients in all phases of real estate development, and has developed a specialized practice in the areas of resort and master planned community development, condominium conversions and condominium hotels.

Program Overview

Fitzsimmons and Turra shared how corporations (especially CSX Corporation) handle various senior management and governance matters including the: 

-     greatest lessons learned in senior management roles;

-     biggest challenge to assist in the leadership of such a large and changing company;

-     most significant emerging trends relating to corporate governance and consistent application of policies for ethics

-     changes within a senior realm of corporate governance that specifically affect women, and

-     numerous issues in the public eye regarding corporate governance such as the effect(s) of change to existing policy or process, the need for division of Chairman and CEO roles, and possible creation of a lead director role.
