Dr. John Clarkson, Compensation Committee
Chairman, Noven Pharmaceuticals. Dr. Clarkson is
also the Executive Director of the American Board of
Ophthalmology and the Dean Emeritus and professor of
ophthalmology, Miller School of Medicine at the
University of Miami. Dr. Clarkson also serves on the
board of governors of the UMHC/Sylvester Cancer
Center and Anne Bates Leach Eye Hospital and on the
board of directors of the Jackson Memorial
Hospital/Public Health Trust.
Joe Lacher, Compensation Committee Chairman,
Goodwill Industries.
Mr.
Lacher also currently serves as chairman of Great
Florida Bank (largest and fastest growing DeNovo
bank in the United States), is a board member of
TECO Energy, Inc., a board member, audit committee
chairman and compensation committee chairman of
Perry Ellis International, and a director for
Goodwill Industries of South Florida.
Danielle Price, Attorney, Holland & Knight,
practices in the areas of corporate law, securities,
mergers and acquisitions, venture capital, and
corporate governance.
Evelyn D’An, President and Founder of D’An
Financial Services. DFS provides the expertise and
insight of highly qualified accounting, finance,
information technology, and strategic tax
professionals to clients. Evelyn currently serves
on the board of directors and the audit committee of
Alico, Inc., a Nasdaq registered public company,
based in Florida. She also serves on the audit
committee for the City of Miami.
Program Overview
Dr. Clarkson and Joe Lacher shared their views on
the new compensation disclosure rules, from both an
SEC and a not-for-profit perspective, while
Danielle Price
addressed the legal
compliance requirements. Evelyn
D’An,
moderated the discussion and addressed
the question – “What Does It All Mean?” The
reporting requirements of the new compensation
disclosures and the impact to companies and to the
shareholders were addressed.
